Plain-English agreement between you and Iluxxian LLC. Provided in good faith; this is not legal advice.
These Terms of Service ("Terms") govern your use of iluxxian.com and the services provided by Iluxxian LLC ("Iluxxian," "we," "us"). By purchasing a package or engaging our services, you agree to these Terms.
1. Services
Iluxxian provides fixed-scope AI and automation engineering services, currently offered as three packages — Automation Audit, Fixed-Scope Build, and Care Plan — described on our site. Each engagement is defined by a written scope agreed before work begins.
2. Scope and changes
Before any build work starts, we confirm the scope of work in writing. Work outside that scope is not included and, if needed, is quoted separately as a new engagement. We will not perform additional billable work without your written approval.
3. Fees and payment
Prices are as listed on our site and at checkout. Payments are processed securely by Stripe; we never see or store your full card details. Promotional discounts apply only while active and per their stated terms. One-time packages are billed once; the Care Plan is a recurring monthly subscription that continues until cancelled.
4. Deliverables and intellectual property
Upon full payment, you own the deliverables we create specifically for you — the code, configurations, and documentation for your engagement. We retain ownership of our pre-existing tools, libraries, methods, and general know-how, and may reuse non-confidential, general techniques on other projects. Each Build includes documentation and a recorded handoff so your team can operate the system.
5. Your responsibilities
You agree to provide timely access to the systems, data, and approvals we need to deliver the work, and confirm you hold the necessary rights to any data or accounts you ask us to work with.
6. AI and third-party services
Our work often integrates AI models and third-party services (for example Anthropic, OpenAI, n8n, Google, and Stripe). Those services are governed by their own terms, and their availability, pricing, and behavior are outside our control. AI outputs can be imperfect and should be reviewed before you rely on them for decisions involving money, legal matters, or personal data.
7. Warranties and disclaimer
We perform services in a professional, workmanlike manner. Except as expressly stated, services and deliverables are provided "as is," and we disclaim implied warranties including merchantability and fitness for a particular purpose. We do not guarantee specific business outcomes, revenue, or uninterrupted operation of any automation.
8. Limitation of liability
To the maximum extent permitted by law, Iluxxian's total liability arising out of or relating to the services will not exceed the fees you paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data.
9. Confidentiality
Each party will protect the other's non-public information and use it only to perform or receive the services. This does not apply to information that is public, independently developed, or lawfully obtained from a third party.
10. GAI World 2026 pass (bundle offer)
Fixed-Scope Build purchases made during the AI-Adopter promotion include a complimentary GAI World 2026 Standard 2-Day Pass, fulfilled after project kickoff via GAI Insights / Eventur, subject to availability and the conference organizer's terms. The pass has no cash value and is non-transferable unless we state otherwise.
11. Cancellation and refunds
Cancellations and refunds are governed by our Refund Policy, which forms part of these Terms.
12. Term and termination
Either party may terminate an engagement for a material breach that remains uncured after reasonable written notice. The sections on intellectual property, confidentiality, disclaimers, and limitation of liability survive termination.
13. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Miami-Dade County, Florida.
14. Changes to these Terms
We may update these Terms from time to time. The version posted here, with its effective date, governs. Continued use of our services after a change means you accept the updated Terms.
